Chandler R. Harris

Chandler Harris is a partner at Showalter PLLC and leads the firm's corporate and transactional practice. He advises public and private companies, founders, investors, boards of directors, and other businesses on mergers and acquisitions, strategic investments, commercial agreements, securities matters, and corporate governance.

Chandler has represented buyers, sellers, and investors in transactions spanning a broad range of sizes and structures—from smaller acquisitions handled end-to-end and founder-owned business transactions through middle-market acquisitions and divestitures, private equity-backed transactions, cross-border investments, and complex public-company M&A. His experience includes transactions in the healthcare, financial services, transportation, manufacturing, food and beverage, tourism and hospitality, and other industries.

Chandler also has significant securities and capital markets experience. He has worked on public and private offerings of debt, preferred equity and common equity, SPAC initial public offerings, convertible securities offerings, and Rule 144A and Regulation S transactions. His experience ranges from growth-company financings to multibillion-dollar securities offerings. He also advises public companies regarding Securities Act and Exchange Act matters, including Forms 10-K, 10-Q and 8-K, proxy disclosure, and other SEC reporting obligations.

In addition to transactional matters, Chandler counsels companies and boards on corporate governance and day-to-day corporate matters. His experience includes preparing and revising organizational documents, board and committee policies, resolutions and minutes; advising on governance transitions and shareholder approvals; negotiating SaaS agreements, nondisclosure agreements, supply agreements, and other commercial contracts; and providing ongoing legal support to businesses and management teams.

Before joining Showalter PLLC, Chandler practiced with Squire Patton Boggs and Carlton Fields in Tampa. He began his legal career with Sullivan & Cromwell in New York, where his practice focused principally on capital markets and other significant corporate transactions.

Chandler received his J.D. from Yale Law School and his B.A. in history, magna cum laude, from the University of Wyoming. He is admitted to practice in Florida and New York.
